This lunch and learn seminar will focus on key deal metrics and recent market trends in acquisition and divestiture transactions in the upstream and midstream market in Western Canada. Topics to be discussed include:

  • Recent changes in the AER's reporting and license transfer requirements and their impact on deal structures.
  • White maps and other means of managing trailing ARO liabilities.
  • Title and environmental matters.
  • Issues related to indemnification including rep & warranty insurance.

Instructors:

Vivek Warrier:

Vivek is a partner at Bennett Jones who practices in the areas of infrastructure project development and private M&A activity in the energy industry. His practice encompasses the entire petroleum and natural gas value chain from upstream exploration and production, to midstream transportation and processing solutions and marketing. Recently, he has been engaged as primary counsel on projects at the forefront of emerging trends in the Canadian oil and gas industry including the development of liquefied natural gas export facilities on both coasts of Canada, joint ventures in emerging resource plays across the prairies and the development of crude oil rail transloading facilities throughout Western Canada. He has a breadth of experience in the negotiation, conduct and completion of complex purchase and sale transactions and is sought out as an advisor on a multitude of contractual issues in industry.

Kieran Ryan:

Kieran is a partner at Bennett Jones with a focus on energy project development, infrastructure projects, private mergers and acquisitions and commercial transactions for energy related companies. He has counseled many clients on the structure and negotiation of joint ventures and partnerships for the acquisition, exploration and development of oil and gas assets focusing on both conventional and unconventional resources of oil sands and shale gas development.
